
U.S. CHAPTER 11 FILING INFORMATION
On May 19, 2020, Exide announced a comprehensive strategy to best position its businesses in the Americas, Europe, and Asia-Pacific to benefit its employees, customers, suppliers, and other stakeholders across the globe. This strategy has two key elements: a plan to sell our Americas Business and an agreement to sell our EMEA (Europe, Middle East and Africa) and Asia-Pacific business to its long-time lenders.
On July 23, 2020, Exide announced a successful conclusion of an auction process for the Americas business with the designation of an affiliate of Atlas Holdings as the successful bidder. Under the terms of the proposed agreement filed with the U.S. Bankruptcy Court, the affiliate of Atlas will acquire assets comprising substantially all of Exide’s ongoing Americas business and operations for approximately $178.6 million. The Agreement contemplates the continued operation of Exide’s transportation, recycling and GNB Industrial Power businesses.
On August 6, 2020, the Court approved the sale of the Americas business to an affiliate of Atlas Holdings, with an expected closing date of Friday, August 21, 2020.
Separately, as announced when the Company filed for bankruptcy, Exide has entered into an agreement under which an ad hoc group of the Company’s prepetition noteholders would continue as owners of its EMEA and Asia-Pacific business. The noteholders intend to maintain continued employment of the Company’s workforce in these regions.
These are important steps for our company, which will give both businesses the resources to invest in our employees, strengthen our market capabilities, and focus on customer success as we continue supplying high-quality service and energy storage and solutions.
